A MESSAGE FROM THE FOUNDER

Evedy was created to address a fundamental challenge emerging as enterprises move from experimenting with AI agents to deploying them at scale: how to ensure every agent action remains within company policy, regulatory requirements and authorised data boundaries. We have built Evedy around runtime control, bringing governance directly into the execution of enterprise AI.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

A MESSAGE FROM THE FOUNDER

I founded Evedy in Switzerland in 2022 after more than 30 years working across enterprise software, technology architecture and production systems in banking, telecommunications and automotive environments.

From 2024, our focus became the design and development of the Evedy AI Control Suite. We recognised that enterprises were moving quickly to adopt AI agents, while the processes used to govern those agents were frequently manual, deferred or applied after an action had already occurred. As AI moves from experimentation into production environments, this creates a significant operational challenge.

Our proposition is straightforward: governance should operate when an AI agent acts. Evedy sits between enterprise AI agents and the systems with which those agents interact. Our platform provides a central control plane capable of applying governance rules at runtime, controlling authorised access, protecting sensitive information, identifying prohibited behaviour, applying company policies and regulatory requirements, and maintaining detailed audit trails.

Our architecture has been designed to operate across different AI models, agent frameworks and cloud environments. This is important because large enterprises increasingly operate heterogeneous technology estates rather than a single AI environment.

We have progressed beyond development. Our technology has been built, tested end to end and deployed, with our first third-party deployment completed. The technology was commercially launched in 2026 and we are now actively developing relationships with specialist technology resellers, regional organisations and global consulting firms.

The founders have invested approximately US $1.2 million to bring Evedy to its current stage of production readiness.

We are now seeking AUD $3,000,000 in new capital at an AUD $20,000,000 pre-money valuation. The purpose of this raise is to accelerate commercialisation, expand our sales and partnership capability, continue product development and support enterprise deployments.

Our focus is now firmly on execution: converting a deployed enterprise technology platform into recurring commercial adoption through direct customer engagement and a scalable partner ecosystem.

Guido Luttgens
Founder and CTO

EXECUTIVE SUMMARY

Evedy is an enterprise AI control platform designed to enforce governance policy on AI agent activity in real time. Our technology has been built, tested and deployed, and we are now progressing from product readiness into commercial growth through enterprise engagements and partner-led distribution. We are raising AUD $3,000,000 at an AUD $20,000,000 pre-money valuation.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

2a. EXECUTIVE SUMMARY

We have developed Evedy as a real-time control layer for enterprises deploying AI agents across increasingly complex operating environments.

Our platform sits between AI agents and the systems they use, enabling governance requirements to be evaluated and enforced as each agent action occurs. This shifts governance from being primarily retrospective or manually applied into an active part of enterprise AI execution.

The market problem is being created by rapid enterprise AI adoption alongside governance processes that have not developed at the same pace. The source materials identify security concerns, failure to move pilots into production, non-deterministic outputs, evaluation and observability gaps, sensitive data exposure, governance-control deficiencies and change-management requirements as major challenges facing enterprise AI programs.

Evedy addresses these requirements through a centralised, model-, framework- and cloud-agnostic control plane. The Evedy AI Control Suite incorporates runtime policy enforcement, identity and access management, AI security, PII protection, governance and change management, compliance enforcement, audit trails, testing, evaluation, observability and token and cost control.

Our technology was developed from 2024 and commercially launched in 2026. The platform has been tested end to end and has completed its first third-party deployment.

Our commercial model is based on recurring per-agent enterprise licensing. Published pricing is USD $400 per agent per month for 1–25 agents, USD $340 for 26–100 agents, USD $280 for 101–300 agents and USD $220 for 301–750 agents. Deployments of 751 agents or more are individually negotiated.

Our go-to-market strategy combines enterprise engagement with partner-led distribution through technology resellers and consulting firms. The reseller model is structured around a standard 25% deal share, with partners able to combine Evedy software with advisory, integration, compliance and managed services.

The founders have invested approximately US $1.2 million to reach production readiness.

We are seeking AUD $3,000,000 in new equity capital at an AUD $20,000,000 pre-money valuation. A fully subscribed raise at that valuation implies an AUD $23,000,000 post-money valuation and approximately 13.04% post-money equity for new investors.

HISTORY AND KEY BUSINESS MILESTONES

Evedy was established in Switzerland in 2022 and now has a presence in Switzerland, the United Kingdom and Australia. Development of the Evedy AI Control Suite commenced from 2024, progressing through design, development and runtime-enforcement testing into commercial deployment. The technology launched in 2026 and has completed its first third-party deployment.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

3a. HISTORY AND KEY BUSINESS MILESTONES

We were formed in Switzerland in 2022 by Guido Luttgens, an enterprise software architect, applied AI specialist and technology executive with more than 30 years of experience building production systems.

From 2024, our founders invested in designing and developing what became the Evedy AI Control Suite. The development program centred on demonstrating that governance could be applied while an AI agent is operating, rather than relying exclusively on controls established before deployment or reviewing actions after they occurred.

This led to our central architectural proposition: a control plane positioned between enterprise AI agents and the systems those agents interact with.

The architecture was designed to enforce governance policy at runtime while remaining independent of a single AI model, agent framework or cloud environment. That approach reflects the operating reality of large enterprises, where different AI technologies may be deployed across multiple business units, workflows and infrastructure environments.

Development expanded into a broader suite of functionality covering identity and access management, AI security, PII data protection, governance and change management, compliance enforcement, token and cost control and audit trails. Supporting functionality includes agent testing, evaluation and observability, version control, authorised data-access controls, jailbreak and prompt-injection detection and auditability by user, agent and regulation.

In 2026, we moved from development into commercial deployment. The technology was launched during the year, with the first deployment occurring in June 2026. Our platform has since completed its first third-party deployment and has been tested end to end.

Our geographic presence has expanded to Switzerland, the United Kingdom and Australia.

At the same time, our focus has shifted from technology creation to commercial scale. We are actively engaging with technology resellers and consulting organisations, including specialist firms, regional organisations and global consulting groups.

The founders have invested approximately US $1.2 million to achieve production readiness.

Our next stage is focused on converting this technology foundation, deployment experience and growing reseller ecosystem into additional enterprise deployments and recurring software revenue.

TYPICAL CUSTOMERS

We are designed for large enterprises deploying multiple AI agents, particularly organisations moving from pilot programs into production and those operating in regulated or compliance-sensitive environments. Our customers require centralised control, consistent policy enforcement, auditable activity and a scalable way to govern increasingly complex AI deployments.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

4a. TYPICAL CUSTOMERS

Our target customers are large organisations deploying AI agents across internal or customer-facing workflows and requiring consistent governance across those deployments.

A core customer profile is the enterprise moving from experimentation or pilot programs into production. At this stage, operational requirements surrounding AI change materially. Organisations need to control what agents are permitted to do, what information they can access, how agent behaviour is monitored, how changes are managed and how actions can be reviewed and audited.

We are particularly relevant to regulated and compliance-sensitive industries. The source information identifies financial services, healthcare and insurance as examples where governance failures can create financial, operational or regulatory exposure.

Large technology and IT organisations also represent a target market where AI agents are being deployed across multiple internal systems, customer-facing applications or business workflows.

Our customers may operate multiple AI models, frameworks and cloud environments. Maintaining separate governance processes across each implementation can increase complexity. Evedy's model-, framework- and cloud-agnostic architecture is designed to provide a central point from which governance can be applied consistently across a wider enterprise AI estate.

Customers also require confidence that governance rules are being applied while an action is taking place. Evedy evaluates and enforces policy at runtime rather than relying solely on periodic review or retrospective compliance processes.

Data access and privacy are additional requirements. Our platform provides controls around identity and access, authorised data use and PII protection, including redaction capabilities. Security functionality includes jailbreak and prompt-injection detection.

For organisations continually developing and updating agents, Evedy also provides testing, evaluation, observability, governance and change-management functionality alongside version control and audit trails.

Our customer proposition is therefore built around scalability. As enterprises increase the number of AI agents operating across their organisations, we provide infrastructure designed to allow governance to scale with those deployments.

The objective is to enable enterprises to move from individual AI initiatives toward broader production adoption while maintaining centralised visibility, policy consistency and runtime control.

OUR PRODUCTS OR SERVICES

The Evedy AI Control Suite is a runtime governance platform for enterprise AI agents. It provides a central point from which organisations can control access, protect sensitive data, apply company policies and regulatory requirements, monitor behaviour, maintain audit trails and govern AI activity consistently across different models, frameworks and cloud environments.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

7a. OUR PRODUCTS OR SERVICES

Our core product is the Evedy AI Control Suite, an enterprise control plane designed for organisations deploying AI agents at scale.

The platform sits between an organisation's AI agents and the systems those agents operate in. This architectural position enables Evedy to evaluate and enforce policy while agent activity is occurring.

Runtime policy enforcement is central to the platform. Governance requirements can therefore operate as active controls rather than existing solely within documentation, manual procedures or periodic audit processes.

The Evedy AI Control Suite incorporates six principal capability areas.

Identity and Access Management and AI Security

Control which users, agents and systems are authorised to access data and functionality. Security capabilities include jailbreak and prompt-injection detection.

PII Data Protection

Provides controls over personally identifiable information, including the ability to redact sensitive information even when it originates directly from the caller.

Governance and Change Management

Supports testing, evaluation and observability of agents and large language models as versions and deployments change.

Compliance Enforcement

Applies regulations and company policies to identify and control non-compliant and non-deterministic outputs.

Token and Cost Control

Provides a central control point from which AI activity, productivity and economic impacts can be measured.

Audit Trails

Provide records by user, agent and regulation, supporting enterprise oversight and accountability.

Our architecture is designed to operate independently of a single AI model, framework or cloud provider. This allows customers to establish consistent governance across a wider enterprise AI estate while retaining their existing technology infrastructure.

Our commercial model is based on recurring per-agent enterprise licensing.

Pricing is USD $400 per agent per month for 1–25 agents, USD $340 for 26–100 agents, USD $280 for 101–300 agents and USD $220 for 301–750 agents. Deployments of 751 agents or more are custom priced and negotiated on a case-by-case basis.

Our enterprise resource infrastructure also includes technical documentation, API documentation, deployment guidance, user documentation, FAQs, market materials and an online demonstration capability.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

COMPETITOR ANALYSIS

Evedy operates across the emerging intersection of AI governance, runtime security, cloud and platform security, and data privacy. The competitive landscape includes established providers in each adjacent category. Our differentiation centres on combining governance depth with runtime enforcement of company policy and regulatory rules across an enterprise AI agent environment.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

8a. COMPETITOR ANALYSIS

Our competitive environment spans several technology categories rather than a single directly equivalent product class.

AI GOVERNANCE AND GRC

Credo AI is identified in our source materials as a representative participant within AI governance and GRC.

This category provides capabilities including governance documentation, AI inventories, risk assessment, framework mapping and audit processes. Evedy's differentiation is centred on applying governance and regulatory requirements directly to AI agent activity at runtime.

RUNTIME AI SECURITY AND GUARDRAILS

CalypsoAI/F5 is identified as a representative participant in runtime AI security.

Providers in this area address requirements including jailbreak and prompt-injection protection, security testing and other inline safety controls.

Evedy incorporates security capabilities while extending the control layer into governance, regulatory policy enforcement, identity and access, data protection, change management and auditability.

PLATFORM AND CLOUD SECURITY

Our source materials also identify organisations including Palo Alto Networks, Microsoft, AWS, Google, Cloudflare and Kong within the broader platform, cloud and gateway environment.

These providers operate across extensive security and infrastructure categories. Evedy's stated position is focused specifically on governing enterprise AI agent activity and enforcing applicable policies while agent actions occur.

DATA AND PII PROTECTION

Private AI is identified as a representative provider within data and PII protection.

This category focuses on identifying, redacting, tokenising and protecting sensitive information. PII protection is incorporated into the Evedy AI Control Suite as one element within a broader governance architecture.

INTERNAL DEVELOPMENT

Enterprises can also build and maintain governance controls internally. The source materials identify this approach as resource intensive and increasingly difficult to maintain as the number of agents, systems and governance requirements expands.

Our competitive differentiation is therefore based on integration: bringing runtime governance, security, PII protection, identity and access management, change management, compliance functionality and auditability together within a model-, framework- and cloud-agnostic control plane.

Our investor materials also describe 26 filed or planned intellectual-property items across five pillars: agent governance, real-time avatar technology, output safety, pre-deployment verification, and containment and policy.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

ROADMAP AND GROWTH OPPORTUNITIES

With the platform developed, tested and deployed, our roadmap is centred on commercial expansion. We are building a partner-led route to market through specialist resellers, regional technology organisations and global consulting firms. Our near-term focus is converting active partner engagement into contracted relationships, enterprise deployments and recurring per-agent software revenue.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

9a. ROADMAP AND GROWTH OPPORTUNITIES

Our roadmap is focused on transitioning Evedy from production readiness and initial deployment into broader commercial traction.

The first major milestone has been achieved. Our platform has completed its first third-party deployment and has been tested end to end. This provides our commercial organisation with a deployed enterprise product around which to build customer and partner relationships.

The next stage is expansion of our reseller and consulting ecosystem.

We are actively developing multiple sales-partner relationships ranging from specialist technology resellers to regional and global consulting firms. Our source information states that the company expects these developing relationships to progress into contracted and revenue-generating arrangements within the following three months.

Our partner-led model is designed to accelerate enterprise market access.

AI governance programs can involve advisory, implementation, integration, compliance and ongoing managed services alongside software. Evedy provides a productised control layer around which partners can build those services, while our commercial model captures recurring software licence revenue.

Our reseller structure uses a standard 25% deal share. Partners are onboarded through a value-based pricing questionnaire so commercial arrangements can reflect the specific contribution and value each partner brings.

A second growth driver is expansion within individual customers as their AI agent fleets increase.

Our pricing model is linked to the number of agents under management, creating a recurring commercial structure capable of expanding alongside enterprise AI adoption. Pricing bands cover deployments from 1–25 agents through to customised arrangements for more than 750 agents.

Geographic expansion is supported by our existing presence in Switzerland, the United Kingdom and Australia together with reseller relationships capable of providing broader enterprise access.

Continued product development will extend runtime policy-enforcement capabilities and broaden framework, model and cloud coverage while supporting the infrastructure required for enterprise deployments.

Our commercial growth opportunity therefore has three connected dimensions: acquisition of additional enterprise customers, expansion of managed agent numbers within those customers, and increased market reach through technology resellers and consulting partners.

Version 1.0 – September 2026 — CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

10a. USE OF CAPITAL

We are seeking AUD $3,000,000 in new capital to accelerate commercial growth following completion of our core platform development and first third-party deployment.

The founders have invested approximately US $1.2 million to bring Evedy to production readiness.

SALES AND PARTNERSHIPS

A major focus of the new capital will be expansion of our commercial capability.

We are actively developing relationships with specialist resellers, regional technology organisations and global consulting firms. Funding will support the sales and partnership resources required to develop these channels, assist partners through onboarding and pursue enterprise opportunities generated through both direct and partner-led activity.

RECRUITMENT

Capital will support team expansion across engineering, sales and customer success.

These functions are required to support a growing enterprise customer base, maintain ongoing product development and provide the commercial and delivery capability necessary for enterprise engagements.

PRODUCT DEVELOPMENT

We will continue investing in the Evedy AI Control Suite, including runtime policy-enforcement functionality and broader coverage across agent frameworks, AI models and cloud environments.

This investment will build upon technology that has already been developed, tested and deployed.

OPERATIONS

Enterprise customers require supporting infrastructure, security and compliance capability appropriate to their operating environments.

A portion of the raise will support these operational requirements as deployment activity increases.

CLIENT SUPPORT

Dedicated investment will support enterprise onboarding and ongoing customer engagement.

Evedy is designed to operate as an enterprise control layer, making implementation support, integration assistance and ongoing customer success important components of commercial delivery.

The purpose of this funding stage is commercial acceleration. Our technology is market ready and deployed, and our focus is now on building enterprise adoption and supporting the reseller ecosystem required to expand distribution.

The investment is structured as a straight capital raise of AUD $3,000,000 at an AUD $20,000,000 pre-money valuation.

A fully subscribed raise at that valuation results in an AUD $23,000,000 post-money valuation.

The AUD $3,000,000 investment therefore represents approximately 13.04% of post-money equity.
